Please read these Terms of Service carefully before using CallCovr's AI-powered voice agent platform. These Terms constitute a legally binding agreement between you and Allday Enterprises LLC, the company behind CallCovr.
1. Acceptance of Terms
By accessing or using CallCovr's services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services. These Terms apply to all users, including businesses and their representatives.
2. Description of Services
CallCovr provides AI-powered voice agent technology designed for home service businesses. Our platform enables automated call handling, lead capture, appointment scheduling, and related features (collectively, the "Services"). We reserve the right to modify, suspend, or discontinue the Services at any time with reasonable notice.
3. Account Registration
To access certain features of our Services, you must register for an account. You agree to:
• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account
You must be at least 18 years old and legally capable of entering into contracts to use our Services.
4. Acceptable Use
You agree not to use the Services to:
• Violate any applicable federal, state, local, or international law or regulation
• Transmit any material that is unlawful, harmful, threatening, abusive, harassing, or defamatory
• Engage in telemarketing or other solicitation activities in violation of applicable laws, including the Telephone Consumer Protection Act (TCPA)
• Impersonate any person or entity or falsely represent your affiliation with any person or entity
• Interfere with or disrupt the integrity or performance of the Services
• Attempt to gain unauthorized access to any portion of the Services or related systems
• Use the Services to record calls without proper disclosure and consent as required by applicable law
5. Telephone Consumer Protection Act (TCPA) Compliance
You are solely responsible for ensuring your use of the Services complies with the TCPA and all other applicable telecommunications laws and regulations. This includes obtaining proper consent from call recipients before initiating automated or pre-recorded calls. CallCovr provides tools to assist with compliance but does not assume liability for your failure to comply with applicable laws.
6. Payment Terms
Subscription Fees: Access to the Services requires payment of subscription fees as described on our pricing page. Fees are billed in advance on a monthly or annual basis.
Payment Processing: We use secure third-party payment processors. By providing payment information, you authorize us to charge your payment method for all fees incurred.
Refunds: Subscription fees are non-refundable except as required by applicable law or as expressly stated in our refund policy.
Price Changes: We reserve the right to change our pricing with 30 days' notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.
Late Payments: Accounts with overdue balances may be suspended or terminated. You are responsible for any fees or charges incurred to collect overdue amounts.
7. Intellectual Property
Our IP: The Services and all content, features, and functionality, including but not limited to software, text, graphics, logos, and designs, are owned by CallCovr and are protected by intellectual property laws.
Your License: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your business purposes in accordance with these Terms.
Your Content: You retain ownership of any content you submit through the Services. By submitting content, you grant us a worldwide, royalty-free license to use, process, and store your content solely for the purpose of providing the Services.
8. Call Recording and Consent
Our Services may record phone calls for quality assurance, training, and service improvement purposes. You are responsible for:
• Providing required disclosures to callers that their calls may be recorded
• Obtaining any necessary consents under applicable state and federal wiretapping laws
• Configuring recording settings appropriately for your jurisdiction
CallCovr shall not be liable for any claims arising from your failure to provide proper disclosures or obtain required consents.
9. Data Privacy
Our Privacy Policy, incorporated herein by reference, governs how we collect, use, and protect your information. By using the Services, you consent to the data practices described in our Privacy Policy.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, CALLCOVR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or completely secure. You acknowledge that AI-generated responses may not always be accurate or appropriate for all situations.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CALLCOVR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless CallCovr and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.
13. Termination
Either party may terminate these Terms at any time. We may suspend or terminate your access to the Services immediately if you violate these Terms or engage in activity that we believe poses a risk to our Services or other users.
Upon termination, your right to use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, and limitations of liability.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or a prominent notice in the Services. Your continued use of the Services after the effective date of the updated Terms constitutes acceptance.
